Sourcing & Factory Representation Agreement

1. What this document covers

This document applies whenever a BOX involves sourcing a product, comparing Vietnam factories, obtaining quotations, arranging samples or coordinating production. It sits alongside the Terms of Service and the Mr.Host AI Agent Agreement, and defines specifically what ShopLink AI and Mr.Host may do with a factory or manufacturing partner on your behalf, and what they may not.

2. ShopLink AI's role: coordinator, not seller

For sourcing and manufacturing work, ShopLink AI acts as your commercial coordinator and representative — not as the seller of the physical product. The factory sells the product. ShopLink AI's own compensation is the service fee for the BOX you purchased, shown at checkout, not a markup hidden inside the factory's price. If ShopLink AI ever buys goods itself and resells them to you, that is Trading mode under a separate, expressly labeled agreement — not this one, and not assumed.

3. What Mr.Host may do on its own

Within the scope of your active BOX and Working Contract, Mr.Host may, without asking you first each time:

  • prepare a request for quotation (RFQ) draft;
  • send RFQs to factories in the ShopLink Factory Network and request quotations;
  • discuss price, minimum order quantity (MOQ), materials, sample terms, lead time, packaging and quality-control terms with a factory;
  • compare quotations and summarize them for you;
  • request non-binding information from a factory (capacity, certifications, past work).

4. What always needs your approval

Mr.Host will not, without your explicit confirmation in chat for that specific step:

  • place a production order;
  • commit to a sample payment above the limit stated in your Working Contract (or, if none is stated, above the equivalent of $100);
  • commit to a production deposit or any other binding payment;
  • accept a factory's final terms as binding on you;
  • sign, or represent that you have signed, any document with a factory.

This mirrors the authority levels set out in the Mr.Host AI Agent Agreement (Section 4): ordinary coordination is automatic; anything that creates a financial or contractual commitment requires your explicit, itemized approval first.

5. Automatic limits

Small-value coordination steps genuinely needed to keep sourcing moving (for example, confirming receipt of a sample quotation, or requesting a revised quote) may proceed automatically even though they touch a factory relationship, because they create no commitment on your behalf. Any step that would create a payment obligation, however small, falls under Section 4, not this section.

6. Factory relationship and confidentiality

Factories in the ShopLink Factory Network are informed that outreach and negotiation may be conducted through an AI-assisted system, and that communications may be stored for project management and audit, consistent with ShopLink AI's own record-keeping obligations to you.

Factory identities, pricing and specifications shared with you are for your use in evaluating and running your own project. You may not represent a specific factory relationship as your own exclusive arrangement unless the factory has separately agreed to that with you directly.

7. Taking over the relationship

You can ask Mr.Host to hand you the factory's direct contact details and the communication history at any point, and continue the relationship yourself without ShopLink AI's further involvement. ShopLink AI does not require exclusivity over a factory relationship it has helped you start.

8. Physical goods, delivery and payment to the factory

Physical production, packaging, quality control and — where applicable — export handling are performed and invoiced by the manufacturing or fulfillment partner directly, never through ShopLink AI's GPay balance or as a ShopLink AI charge, unless a specific BOX or order expressly says otherwise. 9. No sourcing outcome guarantee

Mr.Host's sourcing work is a structured process — research, comparison, negotiation support — not a guarantee that a suitable factory exists at a given price, MOQ or lead time, or that a specific factory will agree to your terms. The BOX Order & Guarantee Terms document covers what happens if the BOX's agreed scope of sourcing work is not completed within the paid period.

10. Liability

ShopLink AI coordinates and represents; it does not manufacture and does not warrant a factory's output. A manufacturer's product quality, delivery time and compliance are the manufacturer's responsibility under its own terms with you, not ShopLink AI's. This section does not exclude liability ShopLink AI has for its own coordination work, or any right that cannot be excluded under mandatory law.
