Terms of Service

1. Acceptance

By creating an account, purchasing a BOX or using ShopLink AI / Mr.Host, you agree to these Terms. If you use the service for a company, you confirm that you are authorized to act for that company.

The service is intended for adults and business users. You must be at least 18 years old or otherwise have legal capacity to enter into the transaction.

2. The service

ShopLink AI provides access to Mr.Host, BOX products, AI workflows, memory and supported integrations. Features may change as the product develops. A purchased BOX gives access for the duration shown at checkout.

3. How ShopLink AI acts — three modes

Depending on the task, ShopLink AI acts under one of three distinct modes. Only one mode applies to a given piece of work at a time, and the applicable mode is always identifiable from the relevant document or order.

• Service mode. ShopLink AI performs software and AI work directly — research, content, planning, integrations, analytics. No goods are bought or sold in this mode.
• Representation mode. For sourcing and manufacturing tasks, Mr.Host acts as the customer's commercial coordinator with a Vietnam factory or manufacturing partner, under the Sourcing & Factory Representation Agreement. ShopLink AI is not the seller of the physical product in this mode; the factory is. See the Open Factory Policy for what that means in practice.
• Trading mode. If ShopLink AI itself ever buys goods and resells them to the customer, that is a separate transaction under its own, expressly labeled agreement — never assumed, and never mixed into Service or Representation mode.

4. Your instructions and Working Contract

You control the work through Mr.Host chat. You may define a Working Contract: the goal, scope, channels, schedule, deliverables, approval rules and limits for the agent. The Mr.Host AI Agent Agreement sets out what Mr.Host may do automatically and what always needs your approval.

A Working Contract is an operational instruction inside the service. It is not automatically a separate legal contract between ShopLink and the customer unless both sides explicitly agree to that in writing.

5. Your responsibilities

You must provide accurate information and only connect accounts, data and systems that you are authorized to use. You are responsible for reviewing outputs before relying on them for important business, legal, financial or public decisions.

You may not use ShopLink AI for unlawful activity, fraud, impersonation, unauthorized access, spam, harassment, infringement of third-party rights or processing data you are not entitled to process.

6. Connected services

If you connect services such as social platforms, messaging tools, stores or other third-party systems, their own terms also apply. ShopLink AI can only act within the permissions those services and you provide.

Third-party outages, API changes, moderation decisions or account restrictions can affect execution and are outside ShopLink AI's direct control.

7. AI output and results

AI-generated content can contain errors. ShopLink AI does not guarantee revenue, leads, rankings, sales, export contracts or any other commercial outcome.

The agent is designed to perform or assist with agreed work, but the business result still depends on the user's product, market, data, execution and external platforms.

8. Content and rights

You keep your rights in the content and business data you provide. You give ShopLink AI the limited permission needed to process that material only for operating the service and performing your requested workflows.

You may use outputs generated for you, subject to applicable law and third-party rights.

9. Suspension and termination

We may restrict or suspend access when reasonably necessary for security, suspected abuse, non-payment or material violation of these Terms. You may stop using the service at any time. Paid periods and refunds are governed by the GPay & Payment Terms document.

10. Liability

ShopLink AI is provided as a software and AI service. To the maximum extent permitted by law, Shoplink Co., Ltd. is not responsible for indirect losses, lost profits or losses caused by relying on unreviewed AI output, third-party platform failures, or acts or omissions of a factory or manufacturing partner acting under its own agreement with the customer.

Mandatory rights under applicable law are not excluded.

11. Law and contact

These Terms are governed by the laws of Vietnam, unless mandatory law requires otherwise.
